Additional listing - scrip dividend shares
Urban&Civic plc (the "Company") announces that applications have been made for 31,482 ordinary shares to be issued in accordance with the terms of the scrip dividend scheme, at a price of 328.6 pence per share ("Scrip Dividend Shares"). The Scrip Dividend Shares are to be issued in relation to the interim dividend for the year ending 30 September 2019, payable on 12 July 2019.
An application will be made for the 31,482 Scrip Dividend Shares to be admitted to the premium segment of the Official List of the Financial Conduct Authority and to trading on the main market for listed securities of the London Stock Exchange ("Admission"). Once admitted the Scrip Dividend Shares will rank pari passu with the existing issued ordinary shares of the Company.
It is expected that Admission will become effective and unconditional dealings in the Scrip Dividend Shares will commence on or around 8.00am on 12 July 2019.
Following Admission, the Company's issued share capital will comprise 145,148,088 ordinary shares with one voting right per share. No shares are held in Treasury. The total number of voting rights in the Company will therefore be 145,148,088.
This figure of 145,148,088 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
