Issue of equity
Further to the Company's announcements dated 27 February 2015 and 13 March 2015, the Company has issued and allotted 739,107 new ordinary shares ("New Shares") as the final part of the consideration for the acquisition of Catesby Property Group plc. The New Shares were credited as fully paid and rank pari passu in all respects with the existing shares of the Company.
Application has been made for the New Shares to be admitted to the standard segment of the Official List of the Financial Conduct Authority and to trading on the main market for listed securities of the London Stock Exchange ("Admission"). It is expected that Admission will become effective and unconditional dealings in the New Shares will commence on or around 8.00am on 8 April 2016.
Following Admission, the Company's issued share capital will comprise 144,745,662 ordinary shares with one voting right per share. No shares are held in Treasury. The total number of voting rights in the Company is therefore 144,745,662.
This figure of 144,745,662 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the share capital of the Company under the FCA's Disclosure and Transparency Rules.
