Tarsus Group PLC02 November 2007 TARSUS GROUP PLC (the "Company") Scrip Dividend Alternative Tarsus Group plc announces that elections under the Scrip Dividend Alternativehave been received from 232 shareholders in respect of 7,000,452 ordinary sharesof 5p each in the Company ("Ordinary Shares") (representing approximately 11.62per cent. of the current issued ordinary share capital of the Company ("IssuedShare Capital") and, as a result, the Board of the Company has allotted 52,111new Ordinary Shares ("New Ordinary Shares"). These New Ordinary Shares will rankpari passu in all respects with the existing Ordinary Shares. Application will be made for the admission of the New Ordinary Shares to theOfficial List and to the London Stock Exchange's market for listed securitiesand dealings are expected to commence on 8 November 2007. The total number of Ordinary Shares in issue following the allotment of the NewOrdinary Shares will be 60,839,431. Payments of £806,788.38 in aggregate will be made on 7 November 2007 in respectof the Dividend to those shareholders who did not make an election under theScrip Dividend Alternative. Directors' Shareholdings Roger Pellow elected to take the Scrip Dividend Alternative in respect of the4,715 Ordinary Shares already held by him as notified to the Company today.Following the allotment of the New Ordinary Shares, he is interested in 4,750shares representing approximately 0.008 per cent. of the Issued Share Capital. Neil Jones elected to take the Scrip Dividend Alternative in respect of the15,990 Ordinary Shares already held by him as notified to the Company today.Following the allotment of the New Ordinary Shares, he is interested in 16,109shares representing approximately 0.026 per cent. of the Issued Share Capital.
