Tarsus Group PLC01 November 2006 Tarsus Group plc (the 'Company') Scrip Dividend Alternative and Directors' Shareholdings Scrip Dividend Alternative Elections under the Scrip Dividend Alternative have been received from 239shareholders in respect of 5,387,522 ordinary shares of 5p each ("OrdinaryShares") (representing 10 per cent. of the existing issued share capital) and,as a result, the Board of the Company has allotted 34,312 new Ordinary Shares('New Ordinary Shares') (representing approximately 0.06 per cent. of theexisting issued share capital). These New Ordinary Shares will rank pari passuin all respects with the existing Ordinary Shares. Application will be made forthe admission of the New Ordinary Shares to the Official List and to the LondonStock Exchange's market for listed securities and dealings are expected tocommence on 6 November 2006. The total number of Ordinary Shares in issue following the allotment of the NewOrdinary Shares will be 53,576,843. Payments of approximately £601,988 in aggregate will be made on 6 November 2006in respect of the Dividend to those shareholders who did not make an electionunder the Scrip Dividend Alternative. Directors' Shareholdings Roger Pellow elected to take the Scrip Dividend Alternative in respect of 2,299Ordinary Shares as notified to the Company today.
