Triad Group Plc22 December 2005 TRIAD GROUP PLC Interim Results for six months ended 30 September 2005 Chairman's statement Results Turnover is £22.7m for the six months ended 30 September 2005 (H1 2004/05:£22.8m). Pre tax losses are £489,000 (H1 2004/05 profit: £180,000). The pre taxlosses are after charging exceptional administrative expenses of £309,000; seenote 4 to the Consolidated Income Statement below. Dividends No interim dividend has been declared (2004/05 interim - 0.00p). Review of activities Market conditions in the resourcing area of the company's business have slowedto some extent during the period but we have been successful in responding tochallenging conditions by concentrating on niche vertical markets and on highermargin work rather than pursuing low margins and high turnover. As I reported in my Chairman's Statement in the annual report and accounts 2005,the level of systems and consultancy business from one major government customerhas declined steadily. We have succeeded in achieving a significant reduction inthe rate of decline. In October, we announced that we had been awarded acontract with TRANSEC and I am delighted to report that this is going well. Thecurrent level of bid activity is very high and we are pursuing substantialopportunities which we have a realistic prospect of winning. The increase in cash during the period is the result of significantly improvedcash collection and management. Staff turnover in the systems and consulting business is very low and we areactively recruiting more high quality staff. Relationships at board level are now harmonious and effective, and the refocusedsenior management team are performing well. We intend to appoint anothernon-executive director as soon as possible. Mira Makar ceased to be an employee and a director of Triad Group Plc witheffect from 8 December 2005. General information The interim financial information does not constitute statutory accounts and isunaudited. The figures for the six months ended 30 September 2004 and the yearended 31 March 2005 have been extracted from the unaudited restatement of theGroup's results announced on 30 September 2005 under International FinancialReporting Standards (IFRS). The UK GAAP figures for the year ended 31 March 2005 received an unqualifiedaudit opinion and have been filed with the Registrar of Companies. The interim report is being sent to shareholders. Further copies can be obtainedfrom the company's registered office at Weyside Park, Catteshall Lane,Godalming, Surrey, GU7 1XE. 2. Summary of significant accounting policies (a) Basis of preparation The consolidated interim financial information is for the six months ended 30September 2005 and has been prepared in accordance with the accounting policiesthe Group expects to adopt in its 2006 Annual Report. These accounting policiesare based on the EU-adopted International Financial Reporting Standards (IFRS)and IFRIC interpretations that the Group expects to be applicable at that time.The IFRS and IFRIC interpretations that will be applicable at 31 March 2006,including those that will be applicable on an optional basis, are not known withcertainty at the time of preparing these interim financial statements. The policies set out below have been consistently applied to all the yearspresented. The Group's consolidated financial statements were prepared in accordance withUK GAAP until 31 March 2005. The Group has applied the accounting policies andmethods of computation in these interim financial statements as detailed below.The effect of any changes in accounting policies arising as a result of theadoption of IFRS as compared to the policies stated in the Group's published2005 Annual Report are explained in note 10.Reconciliations and descriptions of the effect of the transition from UK GAAP toIFRS on the Group's equity and its net income and cash flows are provided innote 10. These consolidated interim financial statements have been prepared under thehistorical cost convention. (b) Property, plant and equipment Property, plant and equipment are stated at cost, net of accumulateddepreciation and any impairment in value. Depreciation is calculated so as to write off the cost of assets, less theirestimated residual values, on a straight line basis over the expected usefuleconomic lives of the assets concerned. The principal annual rates used for thispurpose are: %Computer hardware 25-33Motor vehicles 25-33Fixtures and fittings 10-33 The assets' residual values and useful lives are reviewed, and adjusted ifappropriate, at each balance sheet date. An asset's carrying amount is written down immediately to its recoverable amountif the asset's carrying amount is greater than its estimated recoverable amount. Gains and losses on disposals are determined by comparing proceeds with thecarrying amount. These are included in the income statement. (c) Intangible assets Acquired computer software licences and internally developed software arecapitalised on the basis of the costs incurred to acquire and bring to use thespecific software. These costs are amortised over their estimated useful lives(three to four years). (d) Trade and other receivables Trade and other receivables are recognised at fair value, being transactionvalue less subsequent impairment. A provision for impairment of trade receivables is established when there isobjective evidence that the Group will not be able to collect all amounts dueaccording to the original terms of the receivables. Any change in the amount ofthe provision is recognised in the income statement. (e) Leases Leases of property, plant and equipment where the Group has substantially allthe risks and rewards of ownership are classified as finance leases. Leases where the lessor retains substantially all the risks and rewards ofownership are classified as operating leases. Payments made under operatingleases are charged to the income statement on a straight line basis over theperiod of the lease. (f) Foreign currencies Assets and liabilities expressed in foreign currencies are translated intosterling at the exchange rate ruling on the balance sheet date. Transactions inforeign currencies are recorded at the exchange rate ruling as at the date ofthe transaction. All differences on exchange are taken to the income statementin the year in which they arise. (g) Research and development expenditure Expenditure on research and development is written off to the income statementin the year in which it is incurred. (h) Revenue Revenue, which excludes value added tax, represents the invoiced value of goodsand services supplied: where a service has been provided, but not yet invoiced,the amount is included in the financial statements as accrued income. Incomefrom consultancy contracts, which are on a time hire basis, is recognised as theservices are delivered. Income from maintenance contracts is recognised pro rataover the life of the contract and is deferred to the extent that it has not beenearned. (i) Income tax and deferred income tax The charge for current tax is based on the results for the period as adjustedfor disallowable items. Deferred income tax is accounted for using the liability method in respect oftemporary differences between the tax bases of assets and liabilities and theircarrying amount in the financial statements. Deferred income tax is calculatedat the tax rates that are expected to apply to the period when the asset isrealised or liability is settled. A deferred income tax asset is only recognisedto the extent that it is probable that taxable profits will be available againstwhich temporary differences can be utilised. Deferred income tax balances arenot discounted. (j) Employee benefits Pension costs The Group contributes to the personal pension plans of certain employees. TheGroup's contributions are accounted for as incurred. (k) Surplus property Provision has been made to meet the estimated liabilities of any propertysurplus to the requirements of the business. All ongoing costs net of estimatedfuture rental income are charged to the provision. The provision is discounted,unless the effect of the time value of money is not material. (l) Consolidation Subsidiaries are all entities over which the Group has the power to govern thefinancial and operating policies generally accompanying a shareholding of morethan one half of the voting rights. Subsidiaries are fully consolidated from thedate on which control is transferred to the Group. Inter-company transactions, balances and unrealised gains on transactionsbetween group companies are eliminated. (m) Dividends Dividend distribution to the Company's shareholders is recognised as a liabilityin the Group's financial statements in the period in which the interim dividendis approved by the Board and, in respect of the final dividend, in the period inwhich the final dividend is approved by the Company's shareholders. (n) Cash and cash equivalents Cash and cash equivalents includes cash in hand, deposits held at call withbanks, other short-term highly liquid investments with original maturities ofthree months or less. 3. Dividend No interim dividend has been declared (2004/05: 0.0p) 4. Operating loss The operating loss is after charging exceptional administrative expenses of£309,000. These are legal and professional fees which the company has beenobliged to incur as a result of the situation regarding Mira Makar. Mira Makarceased to be an employee and a director of the company on 8 December 2005. 5. Segmental reporting Based on risks and returns the directors consider that the primary reportingformat is by business segment. The directors consider that there is only onebusiness segment being business consultancy, software and systems delivery.Therefore the disclosures for the primary segment have already been given inthese financial statements. Furthermore as the Group has no significant overseasactivities there is no requirement to report by geographical segment. 7. Under IAS 39trade debtors are recognised at fair value, being transaction value lesssubsequent impairment. There are no material reconciling items between the cash flow statements aspresented under UK GAAP and IFRS. 11. Election of optional exemptions on first-time adoption of IFRS The general principle that should be applied on first-time adoption of IFRS isthat standards are applied with full retrospective effect. IFRS 1 First-timeAdoption of International Financial Reporting Standards sets out certainmandatory exceptions to retrospective application and certain optionalexemptions. The optional exemptions adopted by the Group are; • to apply IFRS 2 Share-based Payments only to awards granted after 7 November 2002 and not vested by 1 January 2005. • not to apply IFRS 3 Business Combinations to business combinations that occurred prior to 1 April 2004 the date of transition to IFRS.
