Topps Tiles plc (the "Company")

Issued Share Capital and Total Voting Rights

The Company announces that its total issued share capital as at the 1st November 2016 consists of 196,175,117 ordinary shares of 3.33 pence each in the Company ("Ordinary Shares") with one voting right per share. The Company does not hold any Ordinary Shares in treasury. The Topps Tiles Employee Benefit Trust ("EBT") has waived its right to exercise its voting rights and to receive dividends in respect of 4,038,495 Ordinary Shares. Accordingly, the total number of voting rights in the Company will be 192,136,622. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
