Titon Holdings PLC06 June 2006 THIS ANNOUNCEMENT REPLACES THE ONE DATED 18 MAY 2006 WHICH WAS RELEASED AT 14:46 WITH RNS NO 2150D The figures in paragraph 2 have been changed. Titon Holdings Plc ("the Company") DIRECTORS SHAREHOLDING The Company was notified on 18 May 2006, that Mr. C Jarvis, a director of theCompany, sold 5,500 ordinary shares of 10p each in the Company ("OrdinaryShares") to Mr C Martin, also a director of the Company. The transaction pricewas 94 pence per Ordinary Share and occurred on 17 May 2006. Following this transaction, Mr Jarvis's and Mr Martin's respective beneficialinterests in the ordinary share capital of the Company were 61,000 and 57,850Ordinary Shares, representing 0.5 and 0.5 per cent. of the Company's issuedshare capital.
