Additional Listing and Total Voting Rights

Application has been made to the Financial Conduct Authority and the London Stock Exchange for the admission of 2,400,000 new ordinary shares of 2p each (the "Shares") to (i) the Official List and (ii) to trading on the London Stock Exchange's Main Market.

The Shares are being issued and allotted to satisfy deferred consideration due pursuant to the share purchase agreement relating to the acquisition of Value Partners N.V., announced on 14 June 2012.

The Shares will rank pari passu with the Group's existing shares in issue and will be credited as fully paid. Admission of the Shares is expected to become effective at 8.00 a.m. on 19 December 2013.

In accordance with the FCA's Disclosure and Transparency Rules, the Company notifies the following:

When admission of the Shares becomes effective, the Company's total issued share capital will comprise 990,949,218 ordinary shares of 2p each with voting rights. Currently there are no shares held in Treasury, and the total number of voting rights in Innovation Group is 990,949,218.

The above figure of 990,949,218 may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change in their interest in, Innovation Group under the FCA's Disclosure and Transparency Rules, following admission of the Shares becoming effective.
