DEALINGS IN SECURITIES BY DIRECTORS, PRESCRIBED OFFICERS AND THE COMPANY
Reinvestment of dividends accruing to ordinary shares previously awarded under the conditional long term incentive plan
In compliance with paragraphs 3.63 to 3.66 of the Listings Requirements of the JSE Limited ("the Listings Requirements"), we hereby provide the following information regarding the reinvestment of dividends accruing to ordinary shares previously awarded under the conditional long term incentive plan. The award is made to the undermentioned Executive Directors and Prescribed Officers of Thungela Resources Limited in terms of clause 16.2.1 of the Company's Share Plan. The Company has, on 25 May 2022, acquired 143,011 shares on market in order to fulfil the reinvestment of the dividends.
These Thungela ordinary shares were acquired with prior clearance, at a volume-weighted average price ("VWAP") of R251.25 per ordinary share. The total transaction value amounted to R35,032,300.

* The vesting of the dividend-equivalent shares is conditional on pre- determined performance conditions and continued employment by Thungela and where applicable, the reasons for the cessation of such employment.
The requisite clearances and approvals for these transactions have been obtained in compliance with the Securities Dealing Policies and Procedures of Thungela and paragraph 3.66 of the Listings Requirements.
