Smaller related party transaction
Ted Baker Plc (the "Company") announces that it has entered into an agreement to provide a trade mark licence and certain design services to THAT Bournemouth Company Limited ("THAT BCL") (the "Agreement").
THAT BCL is a privately owned property group that specialises in mixed-use town centre regeneration projects.
Ray Kelvin, CBE is the Founder and CEO of the Company and Lindsay Page is the Chief Operating Officer & Group Finance Director of the Company and they are both directors of and shareholders in THAT BCL. As such, THAT BCL is a related party of the Company for the purposes of Chapter 11 of the Listing Rules.
Under the Agreement, Ted Baker will provide THAT BCL with design services for the development of apartments in Bournemouth and a licence for marketing those apartments as "Styled by Ted Baker" for a fee of £250,000.
This arrangement falls within Listing Rule 11.1.10R and a sponsor's written confirmation has been obtained stating that the arrangements are fair and reasonable as far as the Company's shareholders are concerned.
