TP ICAP Proposes Appointment of PwC as External Auditor from 2024

TP ICAP Group plc (the 'Company' or 'TP ICAP') today announces that the Board has approved the proposed appointment of PricewaterhouseCoopers LLP ('PwC') as its new external auditor, following the conclusion of a competitive tender process led by the Company's Audit Committee. The appointment will be subject to approval by shareholders at the 2024 Annual General Meeting and, if approved, will take effect for the financial year ending 31 December 2024. The tender process has been carried out in line with Competition and Markets Authority regulations, applicable EU requirements and Financial Reporting Council guidance.

Subject to the reappointment by shareholders at the 2023 Annual General Meeting, the incumbent auditors Deloitte LLP ('Deloitte') will continue in their role until the year ending 31 December 2023. On completion of the 2023 audit, they will stand down having reached the maximum duration of audit engagement. A thorough transition process will be undertaken to ensure an effective handover from Deloitte to PwC.

There are no matters in relation to Deloitte's forthcoming retirement as the Company's external auditor to be brought to the attention of shareholders.
