Results of Nov.19, 2010 EGM and Update on Rivera Sales

 

The Board of Speymill Macau Property Company plc (the "Company") announces that on 19 November 2010, the Company held an EGM in which 74.08% of all shareholders participated by casting proxy votes. The results were as follows:

 

80,006,488 shares voted in favour of resolution No.1 to change the investment mandate. This figure represents 100% of the votes cast

79,006,488 shares voted in favour of resolution No.2 regarding the director compensation plan. This figure represents 98.75% of the votes cast. 1,000,000 shares abstained on this resolution.

As a result of the above votes, both resolutions have passed.

108,006,790 ordinary shares were in issue and allowed to vote at such EGM.

 

Further, The Board is pleased to announce that it has successfully divested the remaining 20 apartment units in the Rivera project and has received a check for HK$100,250,194.30 (approximately US$12,935,509) representing

 

(i) HK$ 68,174,059 (approximately US$8,796,653) as the sales price for the 20 apartments, and

(ii) HK$32,076,135 (approximately US$4,138,856) for the money that the developer received directly from purchasers of the Company's units that exceeded the amount due to it for payment of its outstanding loan.

 

The developer has also confirmed that the loan due in regard to the purchase of the Rivera has been paid in full.

 

The receipt of these funds does not have a material impact on the net asset value and the proceeds will be held on deposit. The Board expects to release a further announcement concerning proposals regarding the return of funds to shareholders in line with the Company's amended investment policyvoted into force today.

The US Dollar amount above is for information purposes only and in calculating such price a conversion price of 7.75 HK dollar to one US dollar was used.
