 Transaction in Own Shares

TBC Bank Group PLC ("TBC PLC") announces that it has purchased the following number of ordinary shares of £0.01 each in its capital (the "Shares") at an average market price of 1,323.64 pence per Share pursuant to the share buyback programme which commenced on 29 July 2019:

Date of purchase: 14 August 2019

Number of Shares: 10,243

The purchase price represents the volume weighted average price paid by Renaissance Securities (Cyprus) Limited ("RenCap") in sourcing the Shares, with the highest and lowest price paid by RenCap being:

Highest price paid per Share: 1,332.00 pence

Lowest price paid per Share: 1,310.00 pence

TBC PLC intends to hold these Shares in treasury. Including Shares which have been purchased, but not yet settled, TBC PLC holds 144,380 Shares in treasury.

Following the above purchase, the total number of Shares in issue is 55,011,516 (excluding Shares held in treasury). This number represents the total voting rights in TBC PLC and may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in TBC PLC under the Financial Conduct Authority's Disclosure, Guidance and Transparency Rules.
