McKesson has received irrevocable undertakings from each of the System C directors (as set out below) in respect of their entire holdings in System C shares, representing approximately 4.29 per cent. of the existing issued ordinary share capital of System C

McKesson has also received irrevocable undertakings from Liontrust Asset Management plc ("Liontrust"), Gartmore Investment Management Limited ("Gartmore") from Guy Hands (as set out below) in respect of holdings or shares over which they have discretionary voting control, representing approximately 19.83 per cent. of the existing issued ordinary share capital of System C.

Finally, McKesson has received a letter of intent from BlackRock Investment Management (UK) Limited ("Blackrock") in respect of 10,656,454 System C ordinary shares in which they have discretionary voting control as at close of business on 1 March 2011, representing 9.2 per cent. of the existing issued ordinary share capital of System C.

In aggregate, McKesson has, therefore, received irrevocable undertakings and letters of intent to vote in favour of the Scheme in respect of 38,737,854 System C Shares, representing 33.28 per cent. of the existing issued ordinary share capital of System C.
