Posting of Annual Report and Notice of AGM
Shearwater Group plc (AIM: SWG), the organisational resilience group that provides cybersecurity advisory and managed security services, announces that its annual report and accounts for the year ended 31 March 2020 have been posted to shareholders together with notice convening the Annual General Meeting of the Company to be held at the offices of Mayer Brown Internation LLP, 201 Bishopsgate, London, EC2M 3AF on Thursday 24 September 2020 at 11.00am.
Copies of the annual report and accounts and notice of AGM are available at the Company's website at www.shearwatergroup.com.
The measures introduced by the UK Government aimed at controlling the spread of COVID-19 (the "COVID-19 Measures") prohibit, among other things, certain public gatherings. The AGM has been arranged on the assumption that the COVID-19 Measures continue to apply at the date of the AGM. As a result, the AGM is expected to be held in a format different to that of previous meetings, while still allowing for Shareholders to exercise their voting rights. It is currently intended that the AGM will be held with only the minimum number of Shareholders or proxies present as required to form a quorum under the Company's articles of association, and who are essential for the business of the 2020 AGM to be conducted. If the COVID-19 Measures continue to apply on the date of the AGM, Shareholders will not be allowed to attend the AGM in person. Therefore, the Company strongly encourages all Shareholders to submit their Form of Proxy, appointing the Chairman of the AGM as proxy.

Only the formal business of the resolutions will be carried out at the 2020 AGM and no business update will be provided. The directors consider it important to continue their open dialogue with Shareholders and, accordingly, should a Shareholder have a question that they would have raised at the AGM had it been possible for them to attend in person, the Company asks that it be sent to shearwater@almapr.co.uk, and a response will be provided in due course.
