NOTIFICATION OF TRANSACTIONS BY DIRECTORS, PERSONS

DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED

PERSONS

 

Notification made in accordance with Disclosure Rule 3.1.4R(1)(a) of the

Disclosure Rules and Transparency Rules.

 

On 21 July 2015, Severn Trent Plc ("the Company") granted Emma Fitzgerald, a person discharging managerial responsibilities (PDMR), the following awards in respect of ordinary shares of 9717/19 p each in the capital of the Company ("Shares"):

 

1. an award in respect of 28,996 Shares ("Special Award"); and

 

2. an award in respect of 14,498 Shares ("Restricted Award").

 

The grant of the Special Award and the Restricted Award were made in connection with the recruitment of Emma Fitzgerald by the Company and were notified to the Company by Emma Fitzgerald on 22 July 2015 pursuant to Disclosure Rule 3.1.2R of the Disclosure and Transparency Rules.

 

Special Award

 

The Special Award is subject to the provisions of an agreement between the Company and Emma Fitzgerald dated 21 July 2015, the principal terms of which are:

 

(a) no consideration is payable in respect of the grant of the Special Award or for any Shares transferred to Emma Fitzgerald pursuant to the Award;

 

(b) 14,498 Shares under the Special Award ("Tranche 1") are subject to a performance condition to be measured over three financial years of the Company ending on 31 March 2016 and the number of Shares that vest will be determined in accordance with such performance condition;

 

(c) 14,498 Shares under the Special Award ("Tranche 2") are subject to a performance condition to be measured over three financial years of the Company ending on 31 March 2017 and the number of Shares that vest will be determined in accordance with such performance condition;

 

(d) the number of Shares that may be delivered to Emma Fitzgerald in respect of the vesting of either Tranche 1 or Tranche 2 may be enhanced by the delivery of a number of additional Shares or cash to reflect dividends paid by the Company on its Shares during the period from the date of grant of the Special Award until the Shares subject to the Tranche concerned have vested;

 

(e) subject to certain exceptions, should Emma Fitzgerald cease to be an employee, the Special Award (to the extent that it has not vested prior to such cessation of employment) will lapse on the date of her cessation of employment;

 

(f) any Shares that vest pursuant to a particular Tranche under the Special Award will be transferred to Emma Fizgerald within 30 days of such vesting having occurred;

 

(g) the Special Award may not be satisfied otherwise than with Shares purchased in the market and in no circumstances shall the Special Award be satisfied with newly issued Shares or Shares held by the Company in treasury.

 

 

Restricted Award

 

The Restricted Award is subject to the provisions of an agreement between the Company and Emma Fitzgerald dated 21 July 2015, the principal terms of which are:

 

(a) no consideration is payable in respect of the grant of the Restricted Award or for any Shares transferred to Emma Fitzgerald pursuant to the Restricted Award;

 

(b) the Restricted Award is not subject to any performance conditions;

 

(c) should Emma Fitzgerald cease to be an employee, there will be no impact on her right to receive the Restricted Award;

 

(d) the Restricted Award will vest on the seventh day after the date of grant;

 

(e) any Shares that vest pursuant to the Restricted Award will be transferred to Emma Fizgerald within 30 days of such vesting having occurred;

 

(f) the Restricted Award may not be satisfied otherwise than with Shares purchased in the market and in no circumstances shall the Restricted Award be satisfied with newly issued Shares or Shares held by the Company in treasury.
