S & U PLC22 December 2006 S&U plc Voting Rights and Capital In conformity with the Transparency Directive's transitional provision 6 wewould like to notify the market of the following: S&U plc's capital consists of 11,737,228 ordinary shares with voting rights. Thecompany also has 3,600,756 31.5% cumulative preference shares and 200,000 6%cumulative preference shares but neither class of cumulative preference sharescarries voting rights so long as the dividends are not in arrears. The companyholds no shares in treasury. Therefore the total number of voting rights in S&U plc is 11,737,228. The above figure may be used by ordinary shareholders as the denominator for thecalculations by which they will determine if they are required to notify theirinterest in, or a change to their interest in, S&U plc under the FSA'sDisclosure and Transparency rules.
