Exercise and Sale of Options/ Directors' Shareholding

S&U plc announces that it has today received due notices of exercise in respect of options granted to certain members of senior management under the Company's 2010 Long Term Incentive Plan ("LTIP"). The notices were in respect of a total of 20,500 ordinary shares of 12.5p each at the exercise price of 12.5 pence per share. In addition, S&U plc announces that it has today also received due notice of exercise in respect of options granted to a member of senior management under the Company's 2008 Discretionary Share Option Plan ("DSOP"). The notice was in respect of a total of 1,450 ordinary shares of 12.5p each ("Ordinary Shares") at the exercise price of 1892.5 pence per share. These 21,950 Ordinary Shares were admitted to trading on 28 September 2015 pursuant to an existing block listing granted to the Company by London Stock Exchange plc and will rank pari pasu with existing Ordinary Shares. These shares were placed with institutions and a Director at a price of £24.65.

Mr Graham Coombs, Deputy Chairman, acquired 5,000 Ordinary Shares bringing his shareholding (including beneficial shareholdings) to 1,535,207 Ordinary Shares representing 12.9 per cent of the enlarged ordinary share capital.

Mr Guy Thompson, a Director, exercised and sold 7,500 Ordinary Shares from his LTIP awards at £24.65. He has no shareholding. Two former Directors who left the Group following the sale of Loansathome4u in August 2015 exercised and sold a total of 6,000 Ordinary Shares from their LTIP awards and 1,450 Ordinary Shares from their DSOP awards within the conditions imposed by the Remuneration Committee.

Following the issue of these Ordinary Shares, the total number of voting rights in S&U is 11,901,875, which number should be used by shareholders and other parties subject to disclosure obligations as the denominator for the calculations by which they determine if they are required to notify their interest in or a change to their interest in the share capital of S&U under the FCA's Disclosure and Transparency rules.
