Sunplus Technology Co Limited15 June 2007 Sunplus Shareholders' Meeting Approved NT$4 Cash Dividend and 5% Stock Dividend Issued on: 2007.06.15 Hsinchu Science Park, Taiwan, R.O.C. June 15th, 2007 - Sunplus Technology Co.,Ltd. (SUNPLUS or the "Company") (TAIEX: 2401, LSE: SUPD), today held the annualshareholders' meeting, at which the shareholders approve the distribution ofNT$4 cash dividend per common share and 5% stock dividend. According to thisresolution, GDR holders will get NT$8 cash dividend per GDR share for each GDRshare representing 2 common Sunplus shares, and 5% stock dividend. The majorresolutions at this shareholders' meeting are as follows: 1. Shareholders accepted the financial results for 2006. Net sales for 2006 wereNT$17.08 billion, and net income for 2006 were NT$2,973 million, with an earningper share NT$2.94. 2. Shareholders approved the distribution of 2006 profits. The Company willdistribute NT$4 cash dividend per common share from profits and 5% stockdividend as 30 shares per 1,000 shares from profits plus 20 shares per 1,000shares from capital surplus, and issue 13,500,000 shares as employees stockbonus plus employees cash bonus NT$15 million. 3. Shareholders approved the capitalization of dividends, bonus to employeesfrom 2006 profits, and capital surplus. Total capital will increase byNT$391,037,150 and issuance of new shares is totaled 39,103,715 common shares. 4. Shareholders approved the amendment of "Articles of Incorporation". 5. Shareholders approved the amendment of "Policies and Procedures for FinancialDerivatives Transactions". 6. Shareholders approved the amendment of "Procedures for Acquisition orDisposal of Assets".
