TRADING UPDATE
SpiriTel plc, (AIM:Β STP), the business communications service provider, today issues an update on current trading for theΒ six monthsΒ to 31Β OctoberΒ 2008.Β
First halfΒ revenueΒ expected toΒ be not less thanΒ Β£10.50Β millionΒ (2007: Β£6.84Β million), upΒ 54%
UnderlyingΒ EBITDA**Β expected to be not less than Β£0.85Β million (2007: Β£0.23 million), up 270%
Balance sheet restructure including conversion of Penta debt at significant premium to share price delivering Β£800,000 annual interest savings
Penta debt reduced fromΒ Β£11.46 million at 30 April 2008 to Β£7.85 million atΒ 31 October 2008
On track to meet current market expectations for the full year
RevenueΒ for theΒ firstΒ half of the current year to 30 April 2009Β isΒ expected to be overΒ 54% ahead of theΒ comparable periodΒ fromΒ last year withΒ UnderlyingΒ EBITDA**Β profitabilityΒ increasingΒ byΒ 270%. The Company's funding partner, PentaΒ Capital, remains fully committed to the business andΒ during the periodΒ convertedΒ Β£3.2m ofΒ loan facilities to ordinary sharesΒ at pricesΒ ofΒ 1.1p andΒ 1.5p per share. Penta now holdsΒ 313.8Β million shares in SpiriTel, representing 49.99% of the issued ordinary shares of the Company.
TheΒ significant improvement inΒ financial performance isΒ a result of both organic and acquisitive growth. The management teamΒ isΒ successfullyΒ implementingΒ the Group'sΒ strategyΒ ofΒ acquiringΒ complementary businesses with corporate customer bases, integratingΒ the acquiredΒ businessesΒ quickly and efficiently, andΒ driving organic growth from theΒ cross-sellingΒ opportunities presented by a rapidly growing customer base. During theΒ period, SpiriTel completed the integration ofΒ WN1 (aΒ B2BΒ mobile reseller)Β and acquired and integrated ED Communications (a network services provider).Β Performance of both acquisitions has, to date,Β exceededΒ management expectations. The results for the first halfΒ willΒ reflectΒ onlyΒ a partial contribution from ED Communications,Β whichΒ was acquired in AugustΒ 2008.
The Company recently announced aΒ Β£1 million,Β three year managed service agreement with Young and Co.'s,Β Brewery Plc. Work on theΒ contract will commence this month andΒ represents furtherΒ progressΒ towardΒ theΒ key strategic objective of increasing future earnings visibility.Β
Commenting on the update,Β Alastair Mills, CEOΒ of SpiriTel,Β said: "OurΒ significantly improved financial performance demonstrates successful delivery of ourΒ strategy of acquisition, integration and growth. All acquired businesses have been rapidly integrated into our existingΒ operationsΒ in Wigan andΒ LondonΒ and are nowΒ fully rebranded within SpiriTel Business. We are continuingΒ toΒ focusΒ onΒ cross-sellingΒ our integrated product portfolio into theΒ substantially enlarged customer base."

**UnderlyingΒ EBITDAΒ is defined asΒ OperatingΒ ProfitΒ after adding backΒ charges forΒ depreciation, amortisation, share based payments and exceptional costs.
