PDMR – exercise of shares
David Bellamy, the Chief Executive Officer of SJP, notified the Company on 23 December 2013 of the following transactions and changes to his holding of SJP shares.
On 23 December 2013, Mr Bellamy exercised his option under the Company Share Option Plan 2010 (“CSOP”) over 10,199 SJP shares with an exercise price of 255 pence per share. Mr Bellamy sold 3,684 SJP shares at 708.5 pence per share to fund the exercise price. As a result of the exercise of the CSOP, his linked Performance Share Plan (“PSP”) award lapsed in respect of 6,529 SJP shares, leaving a PSP award over 268,020 SJP shares.
Mr Bellamy exercised his PSP award over 268,020 SJP shares on 23 December 2013 and acquired 268,020 SJP shares, but sold 126,286 SJP shares on 23 December 2013 at 710.1456 pence per share to meet the income tax and National Insurance costs payable on exercise. Mr Bellamy retained 141,734 SJP shares following the PSP exercise and 6,515 SJP shares following the CSOP exercise, being 148,249 SJP shares in total.
Following the above, Mr Bellamy on 23 December 2013 transferred 135,000 SJP shares by way of gift to members of his immediate family. No shares were sold.
Following the above transactions, Mr Bellamy continues to hold 1,294,458 SJP shares.
