Annual General Meeting Resolutions
The Company acknowledges the RNS statement made by Western Gate Private Investments Limited ("Western Gate") dated 5th April 2016 regarding the Company's AGM and confirms that it has received from Western Gate, a Notice pursuant to Section 338 of the Companies Act 2006 proposing certain resolutions for the forthcoming annual general meeting of the Company.
Western Gate is an investment vehicle of the family office of Luis Amaral, being a shareholder holding in excess of five per cent. of the issued share capital of the Company.
Luis Amaral is also the largest shareholder in Eurocash, one of the Company's largest customers in Poland. Given this conflict of interest, the Company does not believe that Mr Amaral's and Western Gate's interests on the management and strategy of the Company are necessarily aligned with the long term interests of all minority shareholders as a whole.
The Company is currently reviewing the Notice from Western Gate and will respond in more detail in due course. Shareholders are advised to take no action at this time.
