Notice of adjustment of the Conversion Price of U.S.$2,000,000,000 Fixed Rate Resetting Perpetual Subordinated Contingent Convertible Securities (Rule 144A ISIN: US853254AT77; Regulation S ISIN: USG84228CE61) (the "Securities")
Please be advised that further to (i) its announcement dated 30 March 2015 in relation to the issuance of the Securities, and (ii) its announcement dated 3 November 2015, prospectus dated 18 November 2015, supplementary prospectus dated 1 December 2015 and announcement dated 11 December 2015 (the "Rights Issue Results Announcement"), all in relation to the 2 for 7 rights issue of 728,432,451 new Ordinary Shares at 465 pence each (the "Rights Issue"), Standard Chartered PLC has, in accordance with the terms and conditions of the Securities (the "Terms and Conditions"), given notice to the Securityholders that the Conversion Price per Ordinary Share in respect of the Securities has been adjusted in accordance with the Terms and Conditions (the "Adjustment"). The Adjustment became effective on 23 November 2015 (the "Effective Date"). Prior to the Effective Date, the Conversion Price per Ordinary Share was U.S.$11.424. The adjusted Conversion Price per Ordinary Share, computed in accordance with Condition 7(e)(iv) of the Terms of Conditions, is U.S.$10.865.
Capitalised terms not otherwise defined in this announcement shall have the meanings given to them in the Terms and Conditions.
