Notification of transactions by a Person Discharging Managerial Responsibility ("PDMR")
The Company has been notified that on 11 April 2022, and in recognition of the commencement of his employment as Group CEO, the Person Discharging Managerial Responsibility (a "PDMR") shown in the table below, was granted:
(i) an award under the Company's Restricted Share Plan (the "RSP") for FY22 (the "FY22 RSP Award") to acquire 340,061 ordinary shares of 117/200 pence each in the capital of the Company (the "Shares"); and
(ii) a series of buy-out awards under the RSP in respect of awards forfeited on recruitment (the "Buy-out Awards") to acquire (in aggregate) 601,810 Shares.
The FY22 RSP Award has been granted subject to the satisfaction of performance underpins measured over a three-year period to 30 September 2024. Following vesting, the Shares under the FY22 RSP Award will be subject to a two-year holding period.
Details of vesting dates and performance conditions attached to the Buy-out Awards will be provided in the Company's Annual Report and Accounts for the year ended 30 September 2022.
The relevant notifications set out below are provided in accordance with the requirements of Article 19 of the UK version of the EU Market Abuse Regulation which is part of UK law by virtue of the European Union (Withdrawal) Act 2018.
