Dawnay, Day Sirius01 February 2008 Dawnay, Day Sirius Limited ('the Company) Voting Rights and Capital In conformity with the FSA's Disclosure and Transparency Rules' ongoingdisclosure requirements for issuers, we would like to notify the market of thefollowing: As at 31 January 2008 the Company's issued share capital consists of 327,800,000ordinary shares of which 2,184,739 are held in Treasury. Therefore, the total number of shares with voting rights in the Company is325,615,261. The above figure can be used by shareholders as the denominator for thecalculations by which to determine if they are required to notify theirinterest in, or a change to their interest in the Company under the FSA'sDisclosure and Transparency Rules.
