SQS Software Quality Systems AG ('SQS'Β or the 'Company')
Director's shareholding
On 14 December 2009 the CompanyΒ was notified thatΒ on that dateΒ Rudolf van Megen, theΒ Chief ExecutiveΒ of the Company, and his wife Ilona van MegenΒ eachΒ transferredΒ for nil considerationΒ 125,000 SQS ordinary sharesΒ (the "Transferred shares")Β into the name ofΒ their seventeen year oldΒ daughter. Β
In accordance with aΒ legalΒ agreement entered into between theΒ van Megen's,Β save for certain limited dividend rights,Β RudolfΒ andΒ IlonaΒ van MeganΒ retain control overΒ the Transferred Shares.
Following theΒ above mentionedΒ transfers,Β Rudolf van Megan's beneficial holding in SQS shares is unchanged.Β The Transferred Shares representΒ 5.9Β per cent of Rudolf van Megen's beneficial holding.
