Notification of transactions of persons discharging managerial responsibility or connected persons

Sophos Group Plc (the "Company") was notified on 5 November 2015 by Nick Bray, a Director of the Company, that on 5 November 2015 he transferred 350,000 ordinary shares to his spouse, Angela Bray, for nil consideration. The transfer took place in London.

This notice is given in fulfilment of the obligation under DTR3.1.4 (1)(a)R.
