Hipgnosis Songs Fund Limited ("Hipgnosis" or the "Company")
Appointment of Non-Executive Director and Notice of Results

The Board of Hipgnosis, the first UK listed investment company offering investors a pure-play exposure to songs and associated musical intellectual property rights, is pleased to announce the appointment of Cindy Rampersaud as an independent non-executive director of the Company with effect from 1 August 2023.
Ms Rampersaud is a Chartered Accountant with considerable experience across a range of organisations within the education, entertainment, media and charitable sectors. She previously held senior executive roles at Virgin, Warner Brothers, EMI, the Department for Education and, most recently, Pearson, where she headed up the global BTEC and apprenticeships business.
Ms Rampersaud is currently a non-executive director of Sage Housing and an advisory board member and chair of audit & risk at the UK Health Security Agency. She is also a trustee of both The London Film School and the Consumers' Association (the publishers of Which?).
Ms Rampersaud will be appointed as a member of the following Board committees with effect from her appointment to the Board:
- Audit and Risk Management Committee;
- Environmental, Social and Governance Committee;
- Management Engagement Committee;
- Nomination Committee;
- Portfolio Committee; and
- Remuneration Committee.
Shareholders will have the opportunity to vote on Ms Rampersaud's appointment as a new director at the AGM later this year. Ms Rampersaud does not currently own any ordinary shares in the Company.
There are no further details to disclose under paragraphs 9.6.13 R (1) to (6) of the Listing Rules in respect of Cindy Rampersaud.

Notice of Results
The Company will be announcing its full year results for the year ending 31 March 2023 on Thursday 13 July. The Investment Adviser will present a webinar for analysts and investors at 1000 BST.
