Issue of Shares
StatPro Group plc (AIM: SOG), the AIM listed provider of portfolio analytics and data solutions for the global asset management industry, today announces the issue of 416 shares following the exercise of share options at 60p per share under the Company's share option schemes by an ex-employee.
In addition, following the receipt by the Company of applications from an ex-employee relating to the exercise of options over 49,584 shares (with exercise prices ranging between 60p and 87p), the Company has opted to net settle by cash settlement in order to reduce the impact of dilution. The net settlement value was determined by the Board as 107 pence per ordinary share on the settlement date. As a result, a cash settlement will be paid amounting to a total of approximately £15,000 including option tax liability.
Application will be made to issue a total of 416 ordinary shares of 1p each. It is expected that dealings will commence on 9 February 2010. These shares will rank pari passu with the Company's existing issued ordinary shares.
Following Admission, the Company's enlarged issued share capital will comprise 60,679,357 ordinary shares with voting rights. The Company does not currently hold any shares in treasury. This figure of 60,679,357 ordinary shares may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FSA's Disclosure and Transparency Rules.
