Protec PLC18 November 2005 PROTEC PLC RE: RECOMMENDED ALL SHARE OFFER At today's board meetings of Protec plc, convened in connection with therecommended all share offer by Brewin Dolphin Limited on behalf of QuadneticsGroup plc (which was declared wholly unconditional on 9 November 2005), lettersof resignations from the Board were accepted from the following Directors: BillMoir, Louise Turner and John Kirtland. A letter of resignation from PaulGeraghty as Company Secretary was also accepted.
