DIRECTOR RESPONSIBILITIES
In accordance with the terms of the shareholders agreement entered into with ICU Medical, Inc. ('ICU') on the sale of Smiths Medical, Smiths is pleased to announce that Bill Seeger, a non-executive Director of Smiths, will join the ICU Board and Audit and Compliance Committee as Smiths' nominee with effect from 1 February 2022. Bill Seeger's ongoing appointment will be subject to ICU shareholder approval at each annual ICU shareholder meeting.
Bill Seeger will not receive a fee from Smiths or ICU for his role as an ICU Director or Audit and Compliance Committee member. Biographic details can be found on Smiths' website www.smiths.com.
There is no further information required to be disclosed pursuant to LR 9.6.11(3) or LR9.6.14(2).
