STANDARD LIFE INVESTMENTS PROPERTY INCOME TRUST LIMITED
PUBLICATION OF CIRCULAR AND PROSPECTUS
Further to the announcement made by the Company on 31 May 2011, the Company has today published and sent to shareholders a circular (the "Circular") and prospectus (the "Prospectus") in connection with the proposed conversion of six million Preference Shares which are held by Standard Life Assurance into new Ordinary Shares and the issue of up to 38.5 million new Ordinary Shares pursuant to a Placing and Open Offer. The Open Offer is being made available on a pre-emptive basis to all Ordinary Shareholders on the register as at 3 June 2011. The ex-entitlement date for the Ordinary Shares in respect of the Open Offer will be 7 June 2011.
The Circular convenes a general meeting of the Company to be held at 3.00 pm on 29 June 2011 at which resolutions will be proposed inter alia to approve the Proposals.
Application has been made to the UK Listing Authority for the new Ordinary Shares to be admitted to the Official List. Application has also been made for such new Ordinary Shares to be admitted to trading on the main market of the London Stock Exchange. The Placing and Open Offer will close on 14 July 2011 and admission of the new Ordinary Shares to be issued under the Placing and Open Offer is expected to become effective on 22 July 2011.
