Conversion of Convertible Notes and Issue of Equity

Scotgold Resources Limited (ASX:SGZ, AIM: SGZ) ("Scotgold" or the "Company") announces that 36,666,667 fully paid ordinary Scotgold shares ("New Shares") have been issued following the conversion of convertible notes held by Alexander Littlejohn, Richard Harris and Golden Matrix Holdings Pty Ltd. The conversion of these convertible notes was previously approved by shareholders at the meeting of 30 July 2014.

Application will be made for the 36,666,667 New Shares to be admitted to trading on AIM ("Admission") and Admission is expected to take place on 8 September 2016.

Following Admission, the Company's enlarged issued share capital will comprise 1,536,940,881 ordinary shares with voting rights. The Company does not hold any shares in treasury, therefore the total number of shares in the Company with voting rights will be 1,536,940,881. This figure may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company.
