Sanctuary Group PLC21 April 2006 21 April 2006 The Sanctuary Group plc (the "Company") Director/PDMR Shareholding Pursuant to the recent appointment of Bob Ayling, the Company has granted aconditional right to acquire 237,624 ordinary shares of 2p each in the capitalof the Company ("the Share Award").The Share Award may be satisfied by atransfer of existing shares or by issuing new shares at a price per share equalto their nominal value. The Share Award will ordinarily vest on 1st April 2008, subject to Mr. Aylingremaining in his post as Chairman of the Company as at that date. However, ifhis appointment is terminated by the Company before 1st April 2008, except incircumstances where he is prohibited by law from continuing as a director of acompany incorporated in England and Wales, the Share Award will vest on thetermination of appointment.
