Completion of Tender Offer and Total Voting Rights

THE TENDER OFFER IS NOT AVAILABLE TO SHAREHOLDERS WITH A REGISTERED ADDRESS IN, OR ANY PERSON RESIDENT IN (OR ANY PERSON WHO APPEARS AT ANY TIME TO THE DIRECTORS OF THE COMPANY TO BE RESIDENT IN), WHETHER DIRECTLY OR AS OR THROUGH A NOMINEE, TRUSTEE OR CUSTODIAN, ANY RESTRICTED JURISDICTION. The Company is pleased to confirm that Tender Offer announced by the Company on 6 July 2012 has been completed. Under the terms of the Tender Offer, Investec Bank plc purchased 19,197,345 Ordinary Shares at a price of 36 pence per share. Such shares were subsequently acquired from Investec Bank plc by the Company under the terms of the Option Agreement at a price of 36 pence per share. The purchased shares will be cancelled by the Company.

Following the above transaction and pursuant to the requirements of the Disclosure and Transparency Rules, the Company's issued share capital consists of 49,913,445 Ordinary Shares, all of which carry voting rights. The Company does not hold any shares in treasury. Therefore, the total number of voting rights attaching to shares in the Company is 49,913,445. Terms used in this announcement shall have the meaning ascribed to them in the circular to shareholders published on 6 July 2012 unless otherwise stated.
