This means that DWSL will be a member of Sondex on theeffective date of the Scheme and accordingly, there will be no requirement undersection 103 of the Companies Act 1985 for an independent valuation of the newordinary shares in Sondex to be allotted to DWSL pursuant to the Scheme. The Panel has confirmed that the Acquisition has no consequences under the CityCode.
