Notification of Transactions by
Persons Discharging Managerial Responsibilities
Pursuant to the notification obligations under Disclosure and Transparency Rule 3.1.4, Softcat plc (the "Company") hereby notifies the following changes in the interests of Directors and Persons Discharging Managerial Responsibility ("PDMRs") in Ordinary Shares of £0.0005 each in the Company ("Shares") in London, as notified to the Company on 11 December 2015.
The Shares were awarded to certain eligible employees of the Company pursuant to free share awards under the Company's Share Incentive Plan. Such awards are consistent with the Company's stated intention of awarding free shares to eligible employees within 90 days of the admission of the Company's Shares to the Official List of the UK Listing Authority and to trading on the main market of the London Stock Exchange, as disclosed in paragraph 8.6 ("Employee Award") of Part IX of the Company's prospectus dated 13 November 2015.
Free Shares to Directors/PDMRs were granted as set out in the table below.
