THE FOLLOWING ANNOUNCEMENT IS BEING MADE PURSUANT TO THE REQUIREMENTS OF RULE 19.6(C) OF THE CITY CODE ON TAKEOVERS AND MERGERS (THE "CODE") WHICH, AMONGST OTHER THINGS, REQUIRES A PARTY TO AN OFFER TO MAKE AN ANNOUNCEMENT AT THE END OF THE PERIOD OF 12 MONTHS FROM THE END OF THE OFFER PERIOD CONFIRMING WHETHER IT HAS TAKEN, OR NOT TAKEN, THE COURSE OF ACTION SET OUT IN ITS STATED INTENTIONS.

Rule 19.6(c) confirmation with respect to stated post-offer intentions with regard to TP Group plc ("TP Group")
Science Group announces that, following the completion of its recommended cash acquisition of TP Group, effected by way of a scheme of arrangement under part 26 of the Companies Act 2006, and which became wholly unconditional on 26 January 2023, it has duly confirmed in writing to the Takeover Panel in accordance with the requirements of Rule 19.6(c) of the Code that Science Group has complied with its post-offer statements of intent made pursuant to Rules 2.7(c)(viii) and 24.2 of the Code, save as detailed in the Company's Rule 19.6(b) update announcement on 22 December 2023, as originally set out in its 2.7 announcement dated 31 October 2022 and the scheme document dated 21 November 2022 (together, the "Offer Documentation").
