Directors' Shareholdings
On 2 March 2011, as detailed below, Directors of Robert Walters plc ("the Company") (i) exercised Awards under the Robert Walters Long Term Incentive Plan ('LTIP') over ordinary shares of 20 pence each held in the Robert Walters Employee Benefit Trust and (ii) sold 1,287,677 ordinary shares of 20 pence each at a price of 325p per share:

Therefore, the total number of voting rights in Robert Walters plc is 76,540,221.
The above figure of 76,540,221 may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Robert Walters plc under the FSA's Disclosure and Transparency Rules.
