ATA Group PLC19 December 2005 ATA Group PLC 19th December 2005 ATA Group Plc Board changes After fourteen years as Executive Chairman of ATA Group Plc, W. J. C. Douie hasdecided to reduce his position to that of Non - Executive Chairman with effectfrom 1st January 2006 After seven years with the Group, J. R. Hustler has, following the emergence ofcertain areas of disagreement over strategy and Corporate Governance, resignedfrom his position as Non - Executive Director by mutual agreement effective from5 December 2005. Following those two changes the composition of the Board will be:- W. J. C. Douie, Non - Executive Chairman with extra responsibilities for GroupStrategy. C Chapman, Chief Executive Officer. A. Bailey, Commercial Director with full responsibility for Finance. Whereas AIM listed Companies are not required to comply fully with the CombinedCode of Corporate Governance, having taken into consideration the advice of theGroup Nominated Adviser, Williams de Broe, with respect to Corporate Governance,the Board has undertaken to appoint an additional fully independent Non -Executive Director with relevant industry experience during the early part of2006. The Board also recognises, as an objective, the Combined Code SmallerCompany recommendation to maintain two independent Non - Executive Directors. W. J. C.
