Results of Annual General Meeting of Shareholders
6 July 2016. Moscow, Russia. - PJSC ROSSETI (LSE: RSTI) (the "Company"), the largest electricity transmission and distribution grid company in Russia announces the results of the Annual General Meeting of Shareholders ("AGM") held on 30 June 2016:
The following resolutions were passed at the AGM:
1. Approve of the Company's annual report;
2. Approve of the Company's accounts, including the financial performance statements for 2015;
3. Approve of distribution of profit (loss) for 2015;
4. No dividend payment shall be made on the Company's preferred or ordinary shares for 2015;
5. Dividend payment shall be made for 1st quarter 2016 in cash, in the amount 0.07452614 ruble per preference share, 0.00831813 ruble per ordinary share;
The dividend payment period shall be at most 10 business days for a nominee holder and an asset manager that is a professional securities market participant and 25 business days for other shareholders registered on the register after the date of the list of the persons entitled to dividends;
The record date for the persons entitled to dividends shall be July 19, 2016;
6. No remuneration to members of the Board of Directors who are non-governmental officers shall be paid for serving on the Board of Directors;
7. Remuneration to members of the Internal Audit Commission who are non-governmental officers, shall be paid in the amount, prescribed in the Company's internal documents;
8. Elect the following 15 members to the Company's Board of Directors:

11. Approve of a restated version of the Company's Articles of Association;
12. Approve of a directors' and officers' liability insurance agreement, which constitutes a related party transaction;
13. Approve of participation in the Union «Agency of development of professional communities and skilled workers «WorldSkills Russia»;
14. Approve of cancellation of participation in the International industrial association of employers "Joint association of organisations engaged in construction, reconstruction and capital repairing of power facilities, grids and substations "ENERGOSTROY";
15. Approve of participation in the Non-Profit-Making Partnership Russian International Affairs Council.
