Riverstone Energy Limited (the "Company" or "REL")

Compulsory Redemption of Shares

Further to its announcement of 9 April 2026 confirming its intention to return £30 million to Shareholders by way of a compulsory redemption of ordinary shares (the "Shares"), the Company today confirms that it has now redeemed 2,512,482 Shares (representing approximately 34.26 per cent. of the Company's issued share capital) for cancellation at a Redemption Price of £11.94 pence per Share. The redeemed Shares were disabled in CREST after close of business on 27 April 2026 (the ("Redemption Date"), and the ISIN for such Shares expired at the same time.

Fractions of Shares produced by the applicable redemption ratio have not been redeemed and therefore the number of Shares redeemed in respect of each Shareholder has been rounded down to the nearest whole number of Shares.

Payments of redemption monies are expected to be effected either through CREST (in the case of Shares held in uncertificated form) or by cheque (in the case of Shares held in certificated form) in pounds Sterling by 15 May 2026. Any certificates currently in circulation will be superseded by a new certificate which will be distributed to Shareholders.

The new ISIN, GG00BWZ6KH33, in respect of the remaining Shares which have not been redeemed (the "New ISIN") has been enabled and is available for transactions from and including today's date, 28 April 2026. CREST will automatically transform any open transactions as at the Redemption Date into the New ISIN.

Following the redemption, the Company has 4,821,934 Shares in issue and does not hold any Shares in treasury. Accordingly, the total number of voting rights in the Company is 4,821,934 and may be used by Shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

Shareholders should note that the Board retains absolute discretion as to the extent and timing of any further redemptions, details of which will be announced in due course.
