Notification of transactions

by Persons Discharging Managerial Responsibilities ("PDMR")

Rotork plc ("Company") today provides notification of the following transactions which were effected outside of a trading venue on 29 May 2020 and which relate to the interests in the ordinary shares of nominal value 0.5pence each in the capital of the Company ("Share(s)") (ISIN: GB00BVFNZH21) of each of the six below named PDMRs.

The transactions arise in respect of the 2020 annual award of free Shares made under the Company's HMRC approved Share Incentive Plan ("SIP") to all qualifying UK employees, including the PDMRs (each a "SIP Award"). The level of a SIP Award granted to participants was calculated in accordance with the SIP rules and based on a Share price of 263.32 pence.

The underlying Shares in a SIP Award, being market purchased Shares held in the SIP Trust, will normally be available for release to the participant from the third anniversary of grant (i.e. 29 May 2023), or earlier in the event of an ordinary termination of employment. During the holding period, and until the said underlying Shares are released, participants are entitled to exercise voting rights and receive any dividends paid on them by the Company.

The Company can confirm that each of the above named PDMRs have complied with their respective obligation to notify the Financial Conduct Authority of the above transactions as required under the EU Market Abuse Regulation.
