ECOFIN U.S. RENEWABLES INFRASTRUCTURE TRUST PLC (the "Company")

The Board of the Company announces that Patrick O'Donnell Bourke, who has been with the Company since its IPO in 2020, will step down as Chair and as a director following the Company's General Meeting on 14 January 2025. His replacement as Chair will be Brett Miller who joined the Board in July 2024. The Board will comprise three directors (including the Chair) to reflect the small size of the Company.
Patrick O'Donnell Bourke said: "We have entered into a conditional agreement for the sale of a substantial proportion of the Company's assets under a proposed managed wind down and I feel this is the right time to be moving on. I will be available to assist Brett in any transition required and I wish him, my other Board colleagues and all our advisers every success for the future as they work to return value to the Company's shareholders".
Brett Miller said: "On behalf of the rest of the Board, I would like to thank Patrick for the significant contribution that he has made to the Company during his time on the Board since IPO."
The Board also wishes to announce that should the Managed Wind-Down be approved by shareholders it will not enter into an agreement to sell any of the remaining assets (beyond the DG Portfolio) at a significant discount to their current carrying values as included in the Company's balance sheet as at 30 June 2024, without prior consultation with major shareholders.
Terms used in this announcement shall have the same meaning as set out in the Circular to shareholders dated 23 December 2024.
