Block Listing Application

Rockwood Strategic Plc (LSE: RKW) announces that an application has been made to the Financial Conduct Authority and the London Stock Exchange for a block listing of 5,614,210 ordinary shares of 5 pence each ("Ordinary Shares") in the capital of the Company (the "Block Listing"). The Block Listing is in addition to the Company's existing block listing which has 824,766 Ordinary Shares remaining, as announced in the Company's six monthly return on 24 June 2024, (such that the total number of Ordinary Shares under the Block Listing is 6,438,976) and will enable the Company to satisfy market demand in the Company's Ordinary Shares. As highlighted within the Company's Annual Report the blocklisting is separate to the authority to allot and waiver of pre-emption resolutions granted at the 2023 Annual General Meeting ("AGM") which have now been exhausted. A resolution is being put to shareholders at the 2024 AGM being held on 31 July 2024 in order to grant the Directors authority to issue up to 6,438,976 Ordinary Shares up to the 2025 AGM.

It is expected that the Block Listing will become effective at 8.00 a.m. on 1 August 2024.

Any Ordinary Shares issued in connection with the Block Listing application:

· Will be issued at prices which shall be at a premium to the latest net asset value per Ordinary Share prior to the issue and, therefore, will not result in any dilution of the net asset value per existing Ordinary Shares

· Will rank, when issued, pari passu with the Ordinary Shares already in issue.
