("Ramsdens" or the "Company")
Exercise of Options, Director/PDMR Shareholding and Total Voting Rights
Ramsdens, the diversified financial services provider and retailer, announces an exercise of employee options, including by Martin Clyburn, Chief Financial Officer of the Company, and certain persons discharging managerial responsibilities ("PDMRs").
The original grant of options, over a total of 805,554 ordinary shares in the capital of the Company (the "Ordinary Shares"), took place on 13 March 2017 pursuant to the Company's Long Term Incentive Plan, introduced on its admission to AIM (the "Admission LTIP").
The vesting of these options, originally scheduled for 31 March 2020, was extended until publication of the Company's Annual Report and Accounts for the 18-months to 30 September 2020, on 18 December 2020 in light of the uncertainty caused by the Covid-19 pandemic.
Peter Kenyon, CEO, was granted options over 250,000 shares in March 2017 and continues to retain his interest in those options. The remaining six beneficiaries have exercised their options over 555,554 shares. Following the option exercise, Martin Clyburn and the other two PDMRs subsequently sold a total of 347,222 Ordinary Shares in order to realise value of compensation granted in respect of Group outperformance for the three-year period to 31 March 2020.
The number of options exercised and Ordinary Shares subsequently sold at an average price of £1.48 per share by Martin Clyburn and the PDMRs, together with their resultant total beneficial holdings of Ordinary Shares, is set out below.

Application has been made to the London Stock Exchange for the 555,554 Ordinary Shares to be admitted to trading on AIM ("Admission") and it is expected that Admission will become effective and trading will commence at 8.00 a.m. on 1 March 2021.
Total Voting Rights
In accordance with the FCA's Disclosure Guidance and Transparency Rule 5.6.1, the Company confirms that, following Admission, its issued share capital will consist of 31,393,207 Ordinary Shares.
The Company does not currently hold any Ordinary Shares in treasury. Therefore, the total number of voting rights in the Company is 31,393,207.
The above figure may be used by shareholders as the denominator for the calculation by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
