R.E.A. Holdings plc ("REA" or the "company")

Issue by the company of up to $50 million nominal of 7.5 per cent dollar notes 2017 by way of an exchange offer and placing

The company announced on 16 November 2012 that of the $50 million nominal of new dollar notes proposed to be created and issued, REA had received acceptances under the exchange offer in respect of $19,011,003 nominal of existing dollar notes, that $12,976,000 nominal of new dollar notes had been placed firm by Guy Butler on behalf of the company and that R.E.A Services Limited, a wholly owned subsidiary of the company, had subscribed $2,024,000 nominal of new dollar notes. The issue remained conditional upon the new dollar notes being admitted to the Official List of the Financial Services Authority and to trading on the Regulated Market of the London Stock Exchange ("admission").

REA announces that admission has now become effective and $34,011,003 nominal of new dollar notes have been issued and allotted at par.
