TOTAL VOTING RIGHTS AND CAPITAL

In conformity with Disclosure Guidance and Transparency Rule 5.6.1, RIT Capital Partners plc (the "Company") hereby notifies the market that, as at the close of business on 31 July 2023:

the Company's issued share capital consists of 156,848,065 ordinary shares of £1 each of which 6,850,792 ordinary shares are held in treasury. 

Therefore, the total number of voting rights in the Company is 149,997,273. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.
