Block Listing Application
The Company provides notification that application has been made in respect of a block listing of 1,355,000 Ordinary Shares of 25 pence each in the Company (the "Block Listing Shares").
The 1,355,000 Block Listing Shares represent approximately 0.2% of the current issued share capital of the Company.
The Block Listing Shares represent options over Ordinary Shares and performance share awards of Ordinary Shares that were granted under the following plans,
· Ricardo Group plc's 2006 Long Term Incentive Plan, 305,000 Ordinary Shares of 25 pence each in the Company.
· Ricardo Group plc's 2011 Deferred Bonus Plan, 450,000 Ordinary Shares of 25 pence each in the Company.
· Ricardo Group plc's 2014 Long Term Incentive, Plan 600,000 Ordinary Shares of 25 pence each in the Company.
On exercise of the options or vesting of the performance share awards, the shares will be issued credited as fully paid and will rank pari passu with the existing Ordinary Shares in issue.
Admission of the Block Listing Shares is expected to occur on 16 October 2015.
