Reconstruction Capital II Ltd09 May 2006 9 May 2006 Reconstruction Capital II Limited (the "Company") Fundraising The Company announces its intention to commence a fundraising by way of aplacing to raise up to €35 million net of expenses (or such larger amount asthe Directors may determine) by way of the issue of up to 35,353,535 newOrdinary Shares (or such larger amount as the Directors may determine) at aprice of €0.99 per share. The anticipated closing date of the placing will be24 May 2006 and application will be made for the new Ordinary Shares to betraded on AIM. A further announcement will be made on completion of the placing. The funds raised will be used to continue to invest in Romania and Bulgaria.Priority sectors include, amongst others, branded food products, infrastructure,specialized retail and distribution, financial services, medical services andreal estate development.
